Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between GLACIALNAIL ACADEMY LTD, a company registered in England and Wales under company number 16664402, with registered office at 128 City Road, London, EC1V 2NX, UNITED KINGDOM (hereinafter “the Company”, “we”, “our”, or “us”), and you, the user or purchaser (“you”, “your”, or “the Customer”).

By accessing our website, creating an account, or purchasing our products, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.

Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

1.1 “Website” refers to the online platform owned and operated by the Company through which digital products and services are offered.

1.2 “Products” means digital items including but not limited to e-books, online courses, downloadable files, video tutorials, and any other electronic content provided by the Company.

1.3 “Services” refers to any ancillary services provided by the Company, including customer support, account management, or platform access.

1.4 “User Account” means the personal profile created by a Customer to access purchased Products or Services.

1.5 “Confidential Information” means all non-public, proprietary, or sensitive information disclosed by the Company, including but not limited to course materials, methodologies, and intellectual property.

1.6 “Applicable Law” means the laws of England and Wales, including UK consumer protection regulations and EU directives where relevant.

Scope of Agreement

2.1 These Terms govern:

• All purchases of Products made via the Website;

• The use of the Website and its Services;

• The rights and obligations arising between the Customer and the Company.

2.2 By agreeing to these Terms, you confirm that:

• You are at least 18 years old, or have parental consent if under 18;

• You have the legal capacity to enter into binding contracts;

• You will use the Products solely for lawful and personal educational purposes.

Account Creation and Responsibilities

3.1 To access certain Products, you may be required to register a User Account. You agree to:

• Provide accurate, complete, and updated information;

• Keep login credentials confidential;

• Accept full responsibility for all activities conducted under your account.

3.2 The Company reserves the right to suspend or terminate accounts suspected of:

• Fraudulent or unauthorized use;

• Violation of intellectual property rights;

• Breach of these Terms.

Digital Product Delivery

4.1 Delivery of Products is made electronically via download link, email, or through the Website.

4.2 Delivery is typically instantaneous following successful payment, but may take up to 24 hours.

4.3 The Company shall not be held responsible for delays caused by technical failures outside its reasonable control, including but not limited to: email filters, server downtime, or force majeure events.

License and Intellectual Property Rights

5.1 By purchasing a Product, you are granted a personal, revocable, nonexclusive, and non-transferable license to access and use the Product for your own educational purposes.

5.2 You shall not:

• Copy, modify, adapt, translate, or create derivative works from the Products;

• Resell, distribute, or share access credentials;

• Use Products for commercial training, unless expressly authorized in writing.

5.3 All intellectual property rights, including copyrights, trademarks, and trade secrets, remain vested exclusively in the Company.

5.4 Any unauthorized use constitutes a material breach of this Agreement and may result in civil and/or criminal liability.

Payment and Pricing

6.1 All prices are displayed in EUR unless otherwise stated.

6.2 Payments are processed via third-party providers (e.g., Stripe, PayPal) using secure encryption.

6.3 The Company does not store full credit card information.

6.4 The Customer is responsible for any applicable taxes, currency conversion fees, or bank charges.

6.5 Prices may be adjusted at the Company’s sole discretion, but such changes will not affect purchases already completed.

Refunds and Cancellations

7.1 Due to the nature of digital goods, all sales are final and non-refundable once access has been granted.

7.2 Refunds shall only be considered in cases of:

• Non-delivery of the Product due to a technical fault attributable to the Company;

• Duplicate transactions.

7.3 Requests must be made in writing within 7 days of purchase, including proof of payment.

7.4 Approved refunds will be processed using the same payment method originally used.

Right of Withdrawal (EU/UK Consumers)

8.1 Under applicable consumer law, Customers may ordinarily withdraw from digital contracts within 14 days.

8.2 However, by purchasing and accessing the Product immediately, you expressly acknowledge that your right of withdrawal is waived.

Limitation of Liability

9.1 The Products are provided “as is” without warranties of any kind, whether express or implied.

9.2 The Company disclaims liability for:

• Any loss of business, revenue, or profits;

• Indirect or consequential damages;

• Incompatibility of Products with specific software or devices.

9.3 The Company’s aggregate liability shall not exceed the amount paid by you for the relevant Product.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, employees, and affiliates against all claims, damages, liabilities, and expenses arising from:

• Your breach of these Terms;

• Your misuse of the Products;

• Any infringement of third-party rights caused by your actions.

Privacy and Data Protection

11.1 The Company collects and processes personal data in accordance with its Privacy Policy and in compliance with the UK GDPR.

11.2 By using the Website, you consent to such processing, including the transfer of data to third-party service providers as necessary.

11.3 We do not sell, rent, or disclose your personal information without consent, except as required by law.

Confidentiality

12.1 Customers shall treat all proprietary information received through the Products as strictly confidential.

12.2 Disclosure, reproduction, or unauthorized distribution of such information is prohibited.

Force Majeure

The Company shall not be liable for any delay or failure to perform its obligations caused by events beyond its reasonable control, including but not limited to: acts of God, war, terrorism, government regulations, natural disasters, strikes, or pandemics.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

Governing Law and Dispute Resolution

15.1 These Terms are governed by and construed in accordance with the laws of England and Wales.

15.2 In the event of a dispute, the parties agree to first attempt amicable settlement.

15.3 If resolution is not possible, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15.4 Notwithstanding the above, the Company reserves the right to seek injunctive relief in any jurisdiction where its intellectual property rights are infringed.

Termination

16.1 The Company reserves the right to terminate or suspend access to Products or Services at its discretion if you breach these Terms.

16.2 Upon termination, all rights granted to you shall immediately cease, and you must destroy all copies of the Products in your possession.

All notices shall be sent in writing to the registered address of the Company or by email to glacialnail@gmail.com.

Entire Agreement

These Terms constitute the entire agreement between you and the Company, superseding any prior agreements, whether oral or written, regarding the subject matter herein.

Amendments

The Company reserves the right to amend or update these Terms at any time. Updates will be effective immediately upon posting on the Website, with a revised “Last Updated” date.
